$1.045 Billion! Duality Biologics Teams Up with Genentech

On August 28, Duality Biologics announced a collaboration and license agreement with Genentech, a member of the Roche Group, to jointly develop next-generation antibody-drug conjugates (ADCs) for multiple oncology indications based on Duality's proprietary DUPAC platform.


Under the terms of the agreement, the total deal value is approximately $1.045 billion: Duality will receive a $45 million upfront payment and is eligible for over $1 billion in potential development, regulatory, and commercial milestone payments across all collaboration programs. In addition, Duality will be entitled to tiered royalties on annual net sales of any approved products arising from the collaboration.


In terms of division of responsibilities, Duality will lead the discovery research and early-stage global clinical development of the collaboration programs. Once Phase 1a clinical development is completed, Genentech will obtain the exclusive worldwide license to the resulting ADCs and assume sole responsibility for further clinical development and commercialization.


The DUPAC (Distinct Uniquely engineered Payload Antibody Conjugate) platform is one of Duality's core technology foundations. Its distinctive payload design is intended to break through the toxicity window and drug resistance bottlenecks of conventional ADCs, offering greater molecular design freedom for the next generation of ADCs. Genentech's decision to partner with Duality is, in essence, a direct endorsement of the platform's draggability and innovation.


For Duality Biologics, the significance of this deal goes beyond the numbers. As one of the most prominent Chinese biotech in the ADC space in recent years, Duality has previously secured multiple major partnerships with global pharma companies. This deal adds Roche/Genentech as another heavyweight partner, further cementing its position as the go-to ADC out-licensor in China — securing real cash from upfront and milestone payments while retaining leadership of early clinical development and leveraging MNC global development systems to amplify the value of its pipeline.


For China's innovative drug industry as a whole, this marks another landmark deal in the wave of ADC business development: the platform value of Chinese biotech is being priced on a global scale, and the "technology licensing + milestone royalties" business model continues to prove itself.
